Please read these Terms and Conditions ("Terms") carefully before using FirstSeed Calendar, FirstSeed Tasks, and FirstSeed Notes (each, an "App"; collectively, the "Service") operated by FirstSeed Inc ("us", "we", or "our").
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all users who access or use the Service.
By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.
User Content
We do not claim any ownership rights in any User Content. User Content is stored on user's devices, as well as on user's iCloud Drive. By making any User Content available to other users through the Service, you hereby grant to FirstSeed Inc a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, display, and modify (for formatting purposes only) your User Content solely as necessary to operate and provide the Service.
You are solely responsible for all your User Content. You represent and warrant that you own all your User Content or you have all rights that are necessary to grant us the license rights in your User Content under these Terms. You also represent and warrant that neither your User Content, nor your use and provision of your User Content to be made available through the Service, nor any use of your User Content by FirstSeed Inc on or through the Service will infringe, misappropriate or violate a third party’s intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.
Subscriptions
Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or yearly basis, depending on the type of subscription plan you select when purchasing a Subscription.
At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it. You may cancel your Subscription renewal through "Subscriptions" in the App Store app.
Free Trial
FirstSeed Inc may, at its sole discretion, offer a Subscription with a free trial for a limited period of time ("Free Trial").
On the last day of the Free Trial period, unless you canceled your Subscription, you will be automatically charged the applicable Subscription fees for the type of Subscription you have selected.
At any time and without notice, FirstSeed Inc reserves the right to (i) modify the terms and conditions of the Free Trial offer, or (ii) cancel such Free Trial offer.
Fee Changes
FirstSeed Inc, in its sole discretion and at any time, may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.
Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.
Refunds
Except when required by law, paid Subscription fees are non-refundable.
AI Features
The Service may include AI-powered features (such as AI assistants and agents, summarization, transcription, meeting minutes, and content generation). When you use these features, your input is sent to third-party AI service providers as described in our Privacy Policy. AI-generated output may be inaccurate, incomplete, biased, or unsuitable for your specific use case; you are solely responsible for reviewing and verifying any output before relying on it. You are solely responsible for the content you submit to AI features and represent and warrant that such content does not infringe any third party's rights or violate any applicable law. We do not guarantee the availability, performance, or any specific output of AI features and reserve the right to modify, suspend, or discontinue them at any time.
Limitation of Liability
In no event shall FirstSeed Inc, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
